Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Kanbark, including the website at kanbark.com and all related applications, features, and services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Kanbark is a task management and collaboration platform that provides kanban boards, project planning, notes and lists, mind maps, moodboards, time tracking, and related productivity and team-collaboration features. We may add, change, or remove features at any time.

2. Accounts and Eligibility

You must be at least 16 years old to use the Service. You are responsible for the activity that occurs under your account and for keeping access to your email and account secure. Kanbark uses passwordless “magic link” sign-in; you are responsible for maintaining control of the email address associated with your account. Notify us promptly of any unauthorized use of your account.

3. Subscription Plans

Kanbark offers a free tier and one or more paid subscription plans with different features and usage limits. The features and limits of each plan are described on our pricing and account pages and may change over time. Usage limits (such as the number of groups, projects, cards, or amount of storage) are enforced against the applicable account.

4. Billing, Payment, and Refunds

  • Paid plans are billed on a recurring basis (for example, monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees until you cancel.
  • You may cancel at any time. Cancellation stops future renewals; your paid access continues until the end of the current billing period.
  • Except where required by law, fees are non-refundable, including for partial billing periods and for periods during which you did not use the Service.
  • We do not store your full card details; payment information is handled directly by Stripe under its own terms and privacy policy.

5. Acceptable Use

You agree not to use the Service to:

  • violate any law or the rights of others, including intellectual property and privacy rights;
  • upload or distribute malware, or content that is unlawful, infringing, or abusive;
  • attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • interfere with, disrupt, overload, or probe the Service or its infrastructure;
  • circumvent usage limits, rate limits, or access controls, or abuse our APIs;
  • resell or provide the Service to third parties except as expressly permitted.

We may suspend or terminate accounts that violate these Terms.

6. Your Content

You retain ownership of the content you create, upload, or store in the Service (“Your Content”). You grant Kanbark a limited, non-exclusive license to host, store, process, transmit, and display Your Content solely as needed to operate and provide the Service to you and the people you share it with. You are responsible for Your Content and for having the rights necessary to store and share it.

7. Intellectual Property

The Service itself, including its software, design, branding, and content we provide, is owned by Kanbark and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or to the Service other than the limited right to use it in accordance with these Terms.

8. Data Backups and Your Responsibility

You are responsible for maintaining your own independent backups of any data you store in Kanbark. We strongly recommend that you regularly export and back up your important boards, projects, notes, attachments, and other content. While we take reasonable measures to protect and preserve data, the Service is not a backup service and should not be relied upon as your only copy of important data.

You acknowledge that data loss can occur for many reasons outside our reasonable control, including hardware or software failure, service outages, third-party provider failures, corruption, accidental deletion, or your own actions, and that maintaining backups is your responsibility.

9. Encryption and Data Restoration

To help protect your information, Kanbark encrypts certain data at rest using strong encryption (AES-256-GCM). Because this data is encrypted, there are circumstances — including key loss, corruption, or a failed restore — in which affected data may be permanently unrecoverable. You acknowledge and agree that this is an inherent characteristic of encryption, and that Kanbark is not liable for any loss of, damage to, or inability to access or restore your data, whether or not that data is encrypted, including where a backup or restoration attempt is unsuccessful.

10. Service Availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time due to maintenance, updates, outages, or factors outside our control, including failures of third-party providers on which the Service depends.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Upon account deletion, we will delete or de-identify your data in accordance with our Privacy Policy, except where we are required to retain it. Because deletion is permanent, please export any data you wish to keep before deleting your account.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR YOUR DATA WILL BE UNINTERRUPTED, SECURE, ACCURATE, PRESERVED, OR RECOVERABLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL SUCH WARRANTIES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KANBARK AND ITS OWNERS, OPERATORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS, CORRUPTION, DELETION, OR INABILITY TO ACCESS OR RESTORE YOUR DATA, WHETHER OR NOT ENCRYPTED, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify and hold harmless Kanbark and its owners and operators from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or of any law or third-party right.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which the Service is operated, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of competent jurisdiction located there, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
